OEM / EmbeddedSeparate written agreementEmbedding OLES in a product or service sold or supplied to third parties, resale, or redistribution requires an agreement with OptimAI Labs before that use begins.

1. The agreement and the license holder

This agreement is between OptimAI Labs Ltda (OptimAI Labs, we, or us), the supplier of OLES, and you, the individual or legal entity obtaining the license. Our contact for licensing and support is oles@optimai.cl.

If you accept on behalf of a company or institution, you confirm that you have authority to bind it. You are responsible for accurate account and billing details and for use of the software under your license. The account used to obtain the license administers its key and downloads; a company name on an invoice does not create shared portal access or additional license capacity.

Acceptance grants only the rights described in these terms and the selected plan for its active term. A separate agreement signed with OptimAI Labs takes precedence for the matters it expressly changes. Mandatory rights under applicable law remain unaffected.

2. Scope of the license

We grant you a limited, non-exclusive license to install and run the supplied object-code binaries or wheels, and to use the documentation, for the permitted purposes and within the limits of your plan. OLES is licensed for a fixed term, not sold as a perpetual license. No source-code delivery or ownership of OLES is included.

Developer and Server licenses allow commercial use within their stated scope. Server covers your own internal services, including services used by your personnel; it does not authorize offering OLES-powered software or an optimization service to third parties. Contact us for OEM terms for that use. Sharing analysis results does not itself redistribute OLES.

An active device is a physical workstation, server, or virtual machine on which you use OLES. Device and simultaneous-solve limits apply across the whole license. Additional processes, accounts, containers, or replacement keys do not multiply those limits. Backups may be kept, but may not be used to exceed the licensed deployment limits.

3. Evaluation and academic access

The evaluation lasts 14 consecutive days from activation. It is for evaluation, benchmarking, and proof of concept, with no production use, resale, or redistribution. It requires no payment and does not convert automatically into a paid plan. Each account can obtain only one trial key for OLES, ever; expiry, revocation, or creating replacement accounts does not entitle you to another trial.

Optional trial questions do not affect eligibility to activate the trial. A trial key cannot be renewed or replaced. You can purchase a paid plan before or after the trial ends.

Academic access requires approval and is limited to eligible non-commercial research. Consulting, paid industrial projects, commercial research and development, and company deployments are excluded. An academic license is valid for one year unless the written approval states a different term; renewal requires review. A request or supporting document does not by itself grant access. You may use the free trial while your request is reviewed if you have not already used it.

4. Payment, duration, and renewal

Developer and Server purchases are one-time payments for one calendar year. There is no automatic renewal, monthly charge, or charge per solve or usage token for these local-binary plans. Listed prices are in USD; applicable taxes and the final total are shown before payment. The confirmed order identifies your plan and price.

A new paid term begins when payment is confirmed. Renewing an active license adds one calendar year to its current expiry. If it has expired, the new year begins when the renewal payment is confirmed. The existing key is retained for a renewal. Your portal shows the resulting expiry date. You may choose not to renew without a cancellation request.

When checkout is supplied by Paddle, Paddle is the merchant of record and handles the sale, payment, tax calculation, and billing documents under its buyer terms. OptimAI Labs supplies OLES and technical support. Paddle’s subscription provisions do not make these one-time annual purchases automatically recurring. A future hosted service or a different billing model requires a separate offer and your agreement.

5. Delivery, compatibility, and keys

After trial activation or confirmed payment, the account portal provides your license key and access to available release downloads. OLES runs on systems that you operate. You are responsible for installation, your infrastructure, and any third-party software or services you use with it; this purchase does not include OptimAI-hosted optimization servers.

Check that a supplied release supports your operating system, architecture, and Python version before purchase. We do not promise compatibility with every environment. If delivery or activation fails, contact support promptly so we can resolve it or arrange an applicable remedy. These terms do not reduce rights for non-delivery or defective software.

Keep your account credentials and license keys secure. Do not publish, sell, sublicense, or transfer keys outside the license holder. Personnel using OLES on behalf of the license holder must comply with the selected plan. Contact support for an administrative account change. Replacing a paid key invalidates the old key and does not start a new term or add deployment rights.

6. Restrictions and third-party software

Unless a separate written agreement permits it, you may not redistribute OLES binaries or wheels, resell or sublicense OLES, embed it in software delivered to others, or provide a third-party commercial service using it. You may not remove ownership notices, bypass license controls, or use multiple trial accounts to evade payment or plan limits.

You may not reverse engineer, decompile, or disassemble OLES except to the extent that applicable law gives you a right that cannot be restricted by contract. The same exception applies where a third-party component’s own license expressly permits an activity.

Third-party components remain governed by their respective license terms and notices supplied with the relevant release. This agreement does not replace those terms or restrict rights they independently grant. Obtaining OLES does not grant access to separately licensed third-party solvers.

7. Your models, data, and results

You retain your rights in the models, input data, and outputs that you create or lawfully use. These terms do not transfer those materials to OptimAI Labs or give us permission to use them for model training. You are responsible for having the necessary rights to your inputs and for how you use the results.

OLES is an optimization tool. Results depend on the formulation, inputs, numerical tolerances, and algorithm settings; successful termination is not a promise of a global optimum or a particular runtime. Independently verify feasibility, accuracy, and fitness for your intended use before relying on an output, especially for decisions where errors could cause harm.

8. Support and updates

Active paid annual licenses include standard support and patch and minor releases made available during the paid term. Launch maintenance covers the current and immediately previous minor release. The standard response target is two business days; it is a target, not a contractual service-level guarantee or 24/7 service.

Standard support covers installation, activation, documented API behavior, reproducible defects, crashes, status handling, and reasonable solver-parameter guidance. Model construction, reformulation, data engineering, custom integration, major-version upgrades, and guaranteed runtime or solution quality require a separate agreement where offered.

Send support requests to oles@optimai.cl with the version, environment, expected and actual behavior, and a minimal reproduction. Remove credentials, license keys, personal information, and confidential data that are not needed to investigate the issue.

9. Refunds and payment disputes

For a Paddle purchase, refund eligibility and processing follow the Paddle Buyer Terms and Refund Policy applicable to your transaction, together with any mandatory rights you have under law. This agreement does not create a blanket no-refund rule or a separate unconditional money-back guarantee.

Request payment help or a refund through the support link in your Paddle receipt or at paddle.net. For missing access, an incorrect license, or a technical defect, you may also contact oles@optimai.cl. Include the order reference, but do not send full card details or a license key.

An approved refund or payment reversal may remove the license time associated with that purchase. Refunding a renewal does not by itself remove time from other valid paid purchases. Where a partial refund is agreed, its effect on access must be made clear as part of the resolution and remains subject to applicable law. A payment dispute may result in temporary suspension while it is reviewed.

Accepting these license terms does not by itself waive statutory withdrawal, conformity, warranty, or refund rights. Any legally required request for immediate digital delivery and acknowledgment of its consequences must be handled separately in the applicable purchase flow.

10. Expiry and termination

When a license expires or is validly terminated, your right to run OLES and access licensed downloads under that license ends. Stop using the software unless you have another valid license covering that use. You may retain your own models and results and any records needed to document your purchase.

We may suspend or terminate access for material breach, unlawful use, license circumvention, or a security incident affecting the service. Where appropriate and legally required, we will explain the issue and give you a reasonable opportunity to remedy it; immediate action may be needed to address fraud or a security threat. Contact support if you believe a suspension is mistaken.

Termination does not remove accrued rights, applicable remedies, or mandatory consumer protections. Intellectual-property restrictions, confidentiality of keys, and provisions intended to apply after termination continue to apply.

11. Warranties and responsibility

We provide OLES with the functionality described for the supplied release and plan. We do not promise error-free or uninterrupted operation, a particular optimization result, or suitability for every model or environment. To the extent permitted by applicable law, other implied warranties are excluded. This exclusion does not remove mandatory rights concerning conformity, defective products, or reasonable care and skill.

For business license holders, to the extent permitted by law, neither party is liable to the other for indirect or consequential losses under this license, and OptimAI Labs’ aggregate liability is limited to the fees paid for the affected OLES license during the 12 months before the event giving rise to the claim. This limitation does not apply to fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or other liability that the law does not allow us to limit. Consumers retain all mandatory rights and remedies.

12. Versions, applicable rights, and contact

The version displayed when you accept the terms applies to that activation, purchase, or renewal. We retain versioned copies so that you can identify what you accepted. Publishing a later version does not retroactively change an already-paid term. A renewal or separate purchase may require acceptance of the version offered at that time.

Translations are provided for accessibility. No translation or interpretation may reduce protections required by applicable law. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. No choice of court or arbitration is imposed by these terms; applicable law determines jurisdiction and any mandatory protections.

For licensing, technical issues, or a complaint about these terms, contact OptimAI Labs at oles@optimai.cl. For OEM or other negotiated commercial terms, contact nathalia.wolf@optimailabs.cl. These license terms govern use of the software; they are not a privacy notice or consent to unrelated data processing.
